Welcome to AptConnect! Please read these Terms of Service (“Terms”) carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using this site, you (“User”) agree to comply with and be bound by these Terms.

These Terms of Service (“Terms”) govern your access to and use of the AptConnect platform, website, applications, and related services (collectively referred to as “AptConnect”). By accessing or using AptConnect, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using AptConnect.

Eligibility and Account Registration:

1.1 AptConnect is intended for individuals who are at least 18 years old. By using AptConnect, you represent and warrant that you are of legal age to enter into this agreement and have the authority to agree to these Terms.

1.2 You may not use AptConnect if you have previously been suspended or removed from the platform by us.

1.3 To access certain features of AptConnect, you may be required to create an account. You must provide accurate and complete information during the registration process and keep your account information updated.

1.4 You agree not to create more than one account or use someone else’s account without their permission.

1.5 If you are registering on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” in these Terms refer to that entity.

1.6 We reserve the right to refuse registration or cancel your account at our discretion.

1.7 You are solely responsible for safeguarding your account credentials and maintaining the security of your account. You agree to notify us immediately of any unauthorized access or use of your account.

1.8 You are responsible for all activities that occur under your account, and you agree not to share your account credentials or allow others to access your account.

1.9 If you believe that your account has been compromised or accessed by unauthorized users, you must inform us immediately and take appropriate actions to secure your account.

1.10 You understand and acknowledge that we may, at any time and in our sole discretion, request additional information or documentation to verify your identity or eligibility to use AptConnect.

1.11 If you provide any false, inaccurate, or incomplete information during the registration process or at any other time, we reserve the right to suspend or terminate your account and access to AptConnect.

1.12 We may use third-party verification services to verify the accuracy of the information you provide during the registration process.

1.13 You agree to cooperate with us and provide any requested information or documentation to complete the verification process.

1.14 We reserve the right to refuse access to AptConnect or its services to anyone for any reason, at any time.

1.15 You may deactivate your account at any time by following the instructions provided in AptConnect or by contacting us at contact@aptconnect.africa.

User Conduct:

2.1 You agree to use AptConnect only for lawful purposes and in compliance with all applicable laws and regulations.

2.2 You will not use AptConnect to transmit, distribute, or store any material that violates any third party’s rights, including but not limited to intellectual property rights, privacy rights, or proprietary rights.

2.3 You will not use AptConnect to engage in any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable conduct.

2.4 You will not use AptConnect to impersonate any person or entity or to falsely represent your affiliation with any person or entity.

2.5 You will not use AptConnect to upload, post, or transmit any content that contains viruses, malware, or other harmful or disruptive elements.

2.6 You will not use AptConnect to interfere with or disrupt the operation of the platform or its services.

2.7 You will not use AptConnect to collect or harvest any personally identifiable information of other users without their consent.

2.8 You will not use AptConnect to engage in any activity that could compromise the security or integrity of the platform or its users’ data.

2.9 You will not use AptConnect to conduct any illegal or fraudulent activities.

2.10 You will not use AptConnect to solicit or advertise any products or services without our prior written consent.

2.11 You are solely responsible for any content or information you upload, post, or transmit through AptConnect, and you agree to indemnify and hold us harmless from any claims arising from your use of the platform.

2.12 We reserve the right to remove any content or information that violates these Terms or is otherwise objectionable, without prior notice.

2.13 We may take appropriate legal action against anyone who violates these Terms or engages in any prohibited conduct on AptConnect.

2.14 We may cooperate with law enforcement authorities and disclose any information necessary to comply with legal obligations or protect the rights, property, or safety of AptConnect, its users, or the public.

2.15 At our sole discretion, we may suspend or terminate your access to AptConnect for any violation of these Terms.

2.16 By using AptConnect, you acknowledge and agree that any content or information you provide may be publicly available and accessible to other users of the platform.

2.17 You further acknowledge and agree that we have no responsibility or liability for the conduct of other users, whether online or offline, and that you interact with other users at your own risk.

Content Guidelines:

3.1 All content submitted to AptConnect must comply with applicable laws and regulations and adhere to the following guidelines:

3.2 Accuracy and Integrity: You must provide accurate and truthful information in your content, including apartment listings, descriptions, and other details. Misleading or false information is strictly prohibited.

3.3 Originality: Content submitted to AptConnect must be original and not infringe upon the intellectual property rights of any third party. You must have the necessary rights and permissions to use any content you submit.

3.4 Respect and Professionalism: Content must be respectful and professional in nature. It should not contain offensive, harmful, or discriminatory language, images, or videos.

3.5 Privacy and Personal Information: You must not include any personally identifiable information of individuals, such as contact details, addresses, or any other sensitive information, in your content without their explicit consent.

3.6 Intellectual Property: You agree not to use any copyrighted material, trademarks, or intellectual property of others in your content without proper authorization.

3.7 Compliance with Policies: Content must not violate the terms of service, privacy policy, or any other policies of AptConnect.

3.8 Prohibited Content: The following types of content are strictly prohibited on AptConnect:

• Content promoting illegal activities or encouraging harm to others.
• Content that contains explicit or adult material.
• Content promoting violence, hatred, or discrimination based on race, gender, religion, or any other factor.
• Content that violates the privacy or rights of any individual or group.
• Content that contains spam, advertising, or commercial solicitations.

3.9 Moderation and Removal: AptConnect reserves the right to moderate and remove any content that violates these guidelines or is deemed inappropriate or offensive.

3.10 User Responsibility: You are solely responsible for the content you submit to AptConnect. You agree to indemnify and hold harmless AptConnect from any claims or liabilities arising from your content.

3.11 Reporting Inappropriate Content: Users can report any content they believe to be in violation of these guidelines by contacting our support team at contact@aptconnect.africa. We will investigate and take appropriate actions as necessary.

3.12 User Reviews and Ratings: AptConnect may allow users to provide reviews and ratings for apartment listings. Users must submit reviews that are honest, relevant, and based on their actual experiences.

3.13 Feedback and Improvement: We welcome user feedback and suggestions to improve the platform and its services. Please feel free to share your thoughts and ideas with us at contact@aptconnect.africa.

3.14 Compliance with Laws: By using AptConnect and submitting content, you acknowledge and agree to comply with all applicable laws and regulations.

3.15 Right to Remove Content: AptConnect reserves the right to remove any content that violates these guidelines or for any other reason, at our sole discretion.

Intellectual Property:

4.1 Ownership: By submitting any content to AptConnect, you retain full ownership of the intellectual property rights to that content. However, you grant AptConnect a non-exclusive, worldwide, royalty-free, and transferable license to use, display, reproduce, distribute, modify, adapt, and publish your content in connection with the operation and promotion of the platform.

4.2 Third-Party Content: If you include any third-party content in your submissions, such as images, videos, or text, you must ensure that you have the necessary rights and permissions to use such content. You agree to indemnify and hold harmless AptConnect from any claims or liabilities arising from the use of third-party content in your submissions.

4.3 Trademarks: AptConnect’s name, logo, and any other trademarks or service marks used on the platform are the property of AptConnect. You are not permitted to use any trademarks, logos, or service marks of AptConnect without prior written consent.

4.4 Copyright Infringement: AptConnect respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the platform infringes your copyright, please contact us immediately at contact@aptconnect.africa with the following information:

• A description of the copyrighted work that you claim has been infringed.
• The location of the allegedly infringing content on AptConnect (e.g., URL or specific location).
• Your contact information, including name, address, telephone number, and email address.
• A statement that you have a good-faith belief that the use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

4.5 Removal of Infringing Content: Upon receipt of a valid copyright infringement notice, AptConnect will promptly investigate the claim and take appropriate actions, which may include removing or disabling access to the allegedly infringing content.

4.6 Counter-Notification: If you believe that your content was mistakenly removed or disabled as a result of a copyright infringement claim, you may submit a counter-notification to contact@aptconnect.africa. The counter-notification must include:

• Your physical or electronic signature.
• Identification of the content that was removed or disabled and the location of the content on AptConnect before its removal or disabling.
• A statement, under penalty of perjury, that you have a good-faith belief that the content was mistakenly removed or disabled.
• Your contact information, including name, address, telephone number, and email address.
• A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located or, if outside Nigeria, to the jurisdiction of any judicial district in which AptConnect may be found, and that you will accept service of process from the person who provided the original copyright infringement notice or an agent of such person.

4.7 Repeat Infringers: AptConnect reserves the right to terminate the accounts of users who are found to be repeat infringers of others’ copyrights.

4.8 Designated Agent: The designated agent for receiving copyright infringement notices and counter-notifications is [Name], [Title], [Address], [Phone], [Email].

Disclaimer of Warranties:

5.1 The AptConnect platform and all content, materials, information, products, and services provided on or through the platform are provided on an “as is” and “as available” basis, without any warranties or representations of any kind, whether express or implied. AptConnect disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and timeliness.

5.2 AptConnect does not warrant that:

• The platform will meet your requirements or expectations.
• The platform will be uninterrupted, secure, or error-free.
• Any defects or errors in the platform will be corrected.
• The platform or its server(s) are free of viruses or other harmful components.
• The quality of any products, services, information, or other material obtained by you through the platform will meet your expectations.

5.3 You acknowledge and agree that:

• The use of the AptConnect platform is at your own risk.
• Any content or information downloaded or otherwise obtained through the platform is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such content or information.

Limitation of Liability:

6.1 In no event shall AptConnect, its affiliates, directors, officers, employees, agents, or licensors be liable to you or any third party for any indirect, consequential, incidental, special, punitive, or exemplary damages arising out of or in connection with the use or inability to use the AptConnect platform or any content, materials, information, products, or services provided on or through the platform.

6.2 To the fullest extent permitted by applicable law, AptConnect’s total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you, if any, to AptConnect for using the platform during the twelve (12) months preceding the date of the claim.

6.3 AptConnect shall not be liable for any delay or failure to perform its obligations under these Terms of Service, directly or indirectly caused by events beyond its reasonable control, including but not limited to acts of God, strikes, lockouts, riots, acts of war, acts of terrorism, epidemics, pandemics, governmental actions, and natural disasters.

6.4 You acknowledge and agree that:

• The limitations of liability set forth in this section will apply even if AptConnect has been advised of the possibility of such damages.
• Some jurisdictions may not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you. In such cases, AptConnect’s liability will be limited to the fullest extent permitted by applicable law.

6.5 The limitation of liability set forth in this section shall apply to the fullest extent permitted by law and shall survive any termination or expiration of these Terms of Service.

Partnership Agreement:

7.1 Relationship: By listing their apartments on the AptConnect platform, apartment owners enter into a partnership agreement with AptConnect. This partnership aims to facilitate the rental process and connect apartment owners with potential renters through the platform. Also, by listing the apartments of apartment owners on the AptConnect platform, Aptians (community ambassadors) enter into a partnership agreement with AptConnect, which aims to facilitate the rental process and connect apartment owners with potential renters through the platform.

7.2 Rights and Obligations: As part of the partnership, apartment owners have the right to list their apartments on the AptConnect platform, manage their listings, and communicate with potential renters. They are also obligated to provide accurate and up-to-date information about their apartments, maintain the condition of the apartments, and comply with all relevant laws and regulations.

7.3 Exclusivity: AptConnect encourages apartment owners to exclusively use the platform for renting out their apartments. While it is not mandatory, exclusive listing on AptConnect increases the visibility of their apartments and enhances the rental experience for both apartment owners and renters.

7.4 Data and Privacy: Both AptConnect and apartment owners are committed to protecting the privacy and data of renters. Any personal or sensitive information shared on the platform shall be treated with utmost confidentiality and used solely for the purpose of facilitating the rental process.

7.5 Service Fee: AptConnect charges a service fee from renters for successful rental transactions facilitated through the platform. The service fee is a percentage of the total rent amount and is subject to the terms outlined in the pricing and commission section of the Terms of Service.

7.6 Duration and Termination: The partnership agreement between apartment owners and AptConnect is valid for the duration of the listing and remains in effect unless terminated by either party. Either party may terminate the agreement by providing written notice to the other party.

7.7 Amendments: AptConnect reserves the right to update and modify the terms of the partnership agreement as necessary. Any changes will be communicated to apartment owners through the platform or via email.

7.8 Dispute Resolution: Any disputes arising from or related to the partnership agreement shall be resolved in accordance with the dispute resolution section of the Terms of Service.

7.9 By listing their apartments on the AptConnect platform, apartment owners acknowledge and agree to the terms of this partnership agreement. AptConnect and apartment owners are committed to working together to provide a seamless and efficient rental experience for renters and property owners alike.

Pricing and Commission:

8.1 Service Fee: AptConnect charges a service fee from renters for successful apartment rental transactions facilitated through the platform. The service fee is calculated as a percentage of the total rent amount and is clearly stated during the renting process. Renters will be informed of the exact service fee on the cart page before making any payments.

8.2 Commission: As part of the service fee, AptConnect will also charge a commission (in the future) from apartment owners for each successful rental transaction facilitated through the platform. The commission is calculated as a percentage of the total rent amount and will be deducted before the payment is transferred to the apartment owner.

8.3 Transparent Pricing: AptConnect is committed to maintaining transparency in its pricing and commission structure. The exact percentage of the service fee and commission charged will be clearly communicated to both renters and apartment owners during the booking process.

8.4 Payment Processing Fee: In addition to the service fee and commission, there may be a payment processing fee charged by the payment gateway provider. This fee will be clearly stated during the payment process, and AptConnect does not retain any portion of the payment processing fee.

8.5 Refunds and Cancellations: In the event of a refund or cancellation of a rental transaction, the service fee and commission charged by AptConnect may be subject to refund policies outlined in the Terms of Service.

8.6 Changes to Pricing and Commission: AptConnect reserves the right to update and modify its pricing and commission structure as necessary. Any changes will be communicated to renters and apartment owners through the platform or via email.

8.7 Taxation: Renters and apartment owners are responsible for any applicable taxes, fees, or duties imposed by local authorities in relation to their rental transactions. AptConnect does not have any responsibility for tax compliance on behalf of renters or apartment owners.

8.8  By using the AptConnect platform and engaging in rental transactions, renters, apartment owners, aptians, property managers, and property companies acknowledge and agree to the terms of the pricing and commission section of the Terms of Service. AptConnect is committed to providing a fair and transparent pricing model that benefits both renters and apartment owners.

Payment Policy:

9.1 All rental payments, including rent, security deposits, and any other fees, must be made through the AptConnect platform. Any attempt by renters to pay apartment owners outside of the platform will be considered a violation of our terms and policies.

9.2 By using AptConnect to rent apartments, renters agree to abide by the Payment Policy and acknowledge that all financial transactions should be conducted solely through the secure payment system provided on the platform.

9.3 Renters found attempting to circumvent the platform’s payment process by making direct payments to apartment owners or using any other alternative payment methods will be subject to appropriate actions, which may include but are not limited to:

1. Account suspension or termination. 
2. Forfeiture of any rewards or benefits earned through the platform. 
3. Loss of access to AptConnect services and features.

9.4 AptConnect takes payment security and the integrity of its platform seriously. By strictly adhering to the Payment Policy, we can ensure a safe and trustworthy environment for all users and protect the interests of both renters and apartment owners.

Refund and Cancellation Policies:

10.1 Rental Transaction Refunds:

• Renters may request a refund of the service fee charged by AptConnect if the rental transaction is canceled before the agreed-upon move-in date.
• Refund requests must be submitted through the platform’s messaging system or customer support within 48 hours of the cancellation notice.
• AptConnect will review and process refund requests within 7 business days of receiving the request.
• Refunds will be made using the original payment method, and any applicable processing fees will be deducted from the refund amount.

10.2 Apartment Owner’s Commission:

• If a rental transaction is canceled before the agreed-upon move-in date, the commission charged by AptConnect to the apartment owner is non-refundable.
• AptConnect retains the commission fee as compensation for the services rendered, including listing the property and connecting the renter to the apartment owner.

10.3 Cancellation by Apartment Owner:

• In the event that an apartment owner cancels a rental transaction after accepting a booking, AptConnect will work to find a suitable alternative for the renter.
• If a suitable alternative is not available, AptConnect will issue a full refund of the rental payment and service fee to the renter.

10.4 Force Majeure:

• AptConnect is not liable for any refunds or compensation in the case of force majeure events that prevent or disrupt the rental transaction, such as natural disasters, government actions, or unforeseen circumstances beyond our control.

10.5 Refunds and Disputes:

• If there is a dispute between the renter and the apartment owner regarding the refund, AptConnect will mediate the situation and make a final decision based on the Terms of Service and applicable laws.
• AptConnect’s decision regarding refunds and cancellations is final and binding.

Copyright Infringement:

11.1 AptConnect respects the intellectual property rights of others and expects its users to do the same. Suppose you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement and is accessible on the AptConnect platform. In that case, you may notify us by providing the following information in writing:

• a. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• b. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works.
• c. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit AptConnect to locate the material.
• d. Information reasonably sufficient to permit AptConnect to contact you, such as an address, telephone number, and, if available, an email address.
• e. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• f. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

11.2 Upon receiving a valid copyright infringement notification, AptConnect will promptly investigate the matter and take appropriate action, which may include removing or disabling access to the allegedly infringing material. If AptConnect removes or disables access to content in response to a valid copyright infringement notification, we may notify the user responsible for the content, providing them with an opportunity to submit a counter-notification in accordance with applicable law.

11.3 Please note that under applicable law, you may be held liable for damages (including costs and attorneys’ fees) if you knowingly materially misrepresent that material or activity is infringing. If you are uncertain whether the material or activity you are reporting is infringing, you may want to seek legal advice.

Indemnification:

12.1 You agree to defend, indemnify, and hold harmless AptConnect, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

• a. Your use of the AptConnect platform or any content, materials, information, products, or services provided on or through the platform.
• b. Your violation of any provision of these Terms of Service.
• c. Your violation of any third-party right, including but not limited to any copyright, property, or privacy right.
• d. Any claim that your content or any other user-generated content submitted through your account caused damage to a third party.
• e. Any activity related to your account, whether by you or any other person accessing your account with or without your consent.

12.2 AptConnect reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with AptConnect in asserting any available defenses. This indemnification obligation will survive these Terms of Service and your use of the AptConnect platform.

12.3 Please note that AptConnect may, at its discretion, participate in the defense of any claim, but we will not be responsible for any legal fees or expenses incurred by you or any other party unless we have provided written consent to such representation.

Dispute Resolution:

13.1  Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact AptConnect and attempt to resolve the dispute informally. You may do this by sending an email to contact@aptconnect.africa or by using any other contact information provided on the AptConnect platform. AptConnect will make reasonable efforts to respond to your dispute resolution request promptly.

13.2  Mediation: If the dispute cannot be resolved informally, both parties agree to attempt to resolve the dispute through non-binding mediation before resorting to arbitration or litigation. The mediation shall be conducted by a mutually agreed-upon mediator, or if no agreement can be reached, by a mediator appointed by a court of competent jurisdiction. The mediation shall be conducted in [Lagos, Nigeria], or such other location as agreed upon by the parties.

13.3  Arbitration: If the dispute is not resolved through mediation, both parties agree to submit the dispute to binding arbitration in accordance with the rules of the [Arbitration Association or Organization]. The arbitration shall be conducted by a single arbitrator, or if the parties cannot agree on an arbitrator, by an arbitrator appointed by a court of competent jurisdiction. The arbitration shall take place in [Lagos, Nigeria], or such other location as agreed upon by the parties.

13.4  Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of [Lagos, Nigeria], without regard to its conflicts of law principles.

13.5  Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms of Service or the use of the AptConnect platform shall be brought exclusively in the state or federal courts located in [Lagos, Nigeria], and each party irrevocably consents to the personal jurisdiction of such courts.

13.6  Class Action Waiver: You agree that any arbitration or court proceeding shall be conducted on an individual basis and not as a class, representative, or collective action. You expressly waive any right to participate in any class, representative, or collective proceeding against AptConnect.

13.7 Waiver of Jury Trial: To the fullest extent permitted by applicable law, you and AptConnect waive any right to a trial by jury in any action or proceeding arising out of or related to these Terms of Service or the use of the AptConnect platform.

13.8 This dispute resolution section does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. The parties agree that this dispute resolution process is the sole and exclusive method for resolving any disputes arising out of or relating to these Terms of Service and the use of the AptConnect platform.

Changes to Terms of Service:

14.1 AptConnect reserves the right to update or modify these Terms of Service at any time without prior notice. Any changes to the Terms of Service will be posted on the AptConnect platform, and the updated version will be effective immediately upon posting.

14.2 It is your responsibility to review the Terms of Service periodically to stay informed about any changes. By continuing to use the AptConnect platform after the changes have been made, you are indicating your acceptance of the updated Terms of Service.

14.3 If you do not agree with any of the changes to the Terms of Service, you must stop using the AptConnect platform immediately. Your continued use of the platform after the changes have been posted will constitute your acceptance of the revised Terms of Service.

14.4 AptConnect may also, in the future, offer new services and/or features through the platform. Such new features and/or services shall be subject to these Terms of Service unless explicitly stated otherwise.

Termination:

15.1 Termination by Users: You may terminate your AptConnect account at any time by notifying us in writing or through the account settings on the platform. Upon termination, your account will be deactivated, and you will no longer have access to your account or any of the content you have submitted.

15.2 Termination by AptConnect: AptConnect reserves the right to terminate or suspend your account and access to the platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms of Service or any other policies or guidelines provided by AptConnect.
• Infringement of intellectual property rights of others.
• You are engaging in fraudulent, illegal, or abusive activities on the platform.
• Conduct that disrupts or interferes with the operation or security of the platform or the experiences of other users.

15.3 Effect of Termination: Upon termination of your account, you agree to cease all use of the platform and any content or information obtained from the platform. AptConnect may retain and store your content for a reasonable period after termination for archival and compliance purposes.

15.4 Survival: Sections 2.3 (User Conduct), 3.4 (Content Guidelines), 4.5 (Intellectual Property), 11.6 (Copyright Infringement), 15 (Termination), 12 (Indemnification), 6 (Limitation of Liability), and 13 (Dispute Resolution) shall survive the termination of these Terms of Service.

15.5 Right to Appeal: If your account is terminated by AptConnect, you may appeal the decision by providing a written appeal to contact@aptconnect.africa. The appeal must include any relevant information or evidence to support your case. AptConnect will review the appeal and respond within a reasonable time frame.

15.6 Reinstatement: If your account is terminated by AptConnect, reinstatement of your account is at the sole discretion of AptConnect. AptConnect reserves the right to refuse reinstatement for any reason.
